Χρήση τεχνικών διαδικτύου για τη λειτουργία των οργάνων της ανώνυμης εταιρείας: νομική-τεχνολογική προσέγγιση.

Abstract

Αντικείμενο της διατριβής είναι η διερεύνηση των δυνατοτήτων εισαγωγής και χρήσης τεχνικών διαδικτύου στη λειτουργία των οργάνων της ανώνυμης εταιρείας. Πιο συγκεκριμένα εξετάζεται η δυνατότητα, ο βαθμός και ο τρόπος με τον οποίο σύγχρονες τεχνικές λύσεις (όπως ηλεκτρονικά πιστοποιητικά και υπογραφές, τηλεδιάσκεψη, ηλεκτρονική αλληλογραφία, διαδικτυακά φόρουμ κ.α), αυτούσιες ή συνδυασμός τους, στηριζόμενες στην υποδομή του διαδικτύου, μπορούν να συνεισφέρουν στη λειτουργία των οργάνων της αε και ταυτόχρονα να εναρμονίζονται με τις επιλογές του έλληνα και του ενωσιακού νομοθέτη, σχηματίζοντας ένα λειτουργικό σύνολο. Ο στόχος της εργασίας είναι διπλός αφενός ο εντοπισμός ή και η συνδυαστική χρήση των βέλτιστων διαδικτυακών τεχνικών για χρήση από τα όργανα της αε, για διάφορα είδη αε (κλειστή, κοινή, εισηγμένη αε) και αφετέρου η επισήμανση προβληματικών σημείων στη νομοθεσία και η παραγωγή σκέψεων νομοθετικής πολιτικής (De lege ferenda).

The objective of this thesis is to explore the doability of importing and using Internet techniques to carry out the operation of general shareholders’ meetings, meetings of members of boards and auditors operation in a limited company by shares. More specifically the thesis investigates the possibility, the degree and manner in which modern technical solutions (such as electronic certificates and signatures, teleconferencing, email, online forums, etc.) individually or combined, based on the Internet infrastructure, can contribute to the general shareholders’ meetings, meetings of members of boards and auditors operation, while still remain consistent with the choices of Greek and EU legislator, forming a functional whole. The aim of this thesis is double; firstly, the detection of optimal autonomous or combined techniques for use during the general shareholders’ meetings, the meetings of members of boards and during auditors operation of a limited company by shares, of various kind (closed, common, listed company), and secondly to locate problematic points in legislation and also to form legislative policy considerations (De lege ferenda).
